Amendments to the Commercial Law of Latvia

In July 2025, further amendments to the Commercial Law of Latvia came into force. The legislator is adapting the law to modern realities.

First of all, the requirement to submit a document issued by a credit or payment institution confirming payment of share capital to the Register of Enterprises has been abolished. It’s enough to submit a confirmation from the board on the Register of Enterprises’ letterhead confirming payment of the share capital. This applies both to company incorporation and to capital increases. Exceptions apply when the share capital (as a result of an increase or during the company’s incorporation) exceeds 50,000 euros.

The next important change concerns debt capitalization. If a claim against the company is included in the share capital, the appraisal of the investment can be conducted by the board. There is no need to engage certified appraisers for this purpose.

Also, starting from January 1, 2026, the requirement to submit a liquidation balance sheet to the Register of Enterprises will be abolished. This is very logical, as the Register of Enterprises clearly sees whether the balance sheet has been submitted and whether it has been accepted by the State Revenue Service.
